Textures with transparent background

Hello
I am having a strange problem with a model with texture. I can view it OK on a C# form, but when I enable transparent background and run the application the form is empty. If I open the form editor the Model Path disappears by itself. It becomes empty.

I see the model and the texture in modelling studio OK. I have reduced the problem to simplest rectangle with texture (attached)

Any ideas would be appreciated
